Corporate and Commercial Law

The Firm offers support to the Company secretary of the company by performing all duties associated therewith. This would usually include:

• Extracting Board and shareholder resolutions for filing and registration with the Registrar of Companies,
• Filing all company forms and other companies Act statutory returns with the Registrar of Companies, and
• Guiding the company secretary and the company on company Law and good corporate governance.

Act as a principal legal advisor to the company and its Board of Directors in respect to company Law and corporate matters, Labour law, land law and other legal issues that may arise. Act as the company’s principal legal advisor and external counsel in relation to all issues and matters pertaining to Ugandan Laws including issuing legal opinions on any matters arising and attending meeting and negotiations to resolve legal matters. Act as legal counsel for company in court and drafting pleadings on behalf of the company.

Conveyance and Land Transactions

The Firm has vast experience in resolving legal issues pertaining to land and this includes experience in:

• Negotiations for land acquisition, pre-purchase due diligence and compensation, easement/rights of way, processing transfers, mortgages and all other forms of dealings in land
• Drafting and reviewing sale agreements, leases/tenancy
• Conducting searches and processing valuation, mutation and sub-division of land
• Resolving land disputes through alternative dispute resolution such as through arbitration, conciliation and mediation
• Court representation in land disputes including disputes involving fraud in land, trespass and breach of agreements such as tenancy and sale agreements.

Employment and Labour Law

The Firm also has extensive experience in employment and labour law. Our services in this are include;

• Drafting and reviewing employment contracts
• Advising on key legal issues under the employment and labour institutions Act such as termination, sick pay, probation, suspension, redundancy, working hours, annual leave and summary dismissal
• Advising on legal issues under other labour statutes such as national Social Security Act, Trade Unions Act, the Workmen’s Compensation Act and the occupational Safety, and Health Act.
• Employer-Employee disputes resolution including liaising with labour officers at the Ministry and the trade unions to come to an amicable settlement.
• Court representation in employment and labour law matters such as summary dismissal, suspension, termination and restructuring issues such as redundancy, retrenchment and severance pay.

Advocacy Litigation and Arbitration

The firm boosts of a robust team of litigation lawyers that represent the best of client’s interest majorly in Civil Litigation throughout Uganda in all Courts of Law including the Supreme Court; the highest Court of jurisdiction.

The firm also offers Alternative means of Dispute Resolution such as Arbitration, Mediation inter-alia. Our litigation practice falls into several categories including but not limited to; general commercial and civil litigation, bankruptcy, Class Actions, Consumer protection, Contract, Criminal Law, Debtor recovery, and Employment, leases, Mortgages, professional liability, Tax and all other types of litigations. Banking and Finance

The firm has acted as counsel for banks and financial institutions across the country, plus numerous Saccos. We offer legal support and guidance especially during introduction of innovative financing models and other banking products, and specifically we ensure that the product complies with the relevant laws and/or guidelines laid down by the regulatory authorities. The Firm prepares and provides legal advice and guidance on mortgages, debentures, guarantees and other liens/charges for numerous clients in the Banking and Financial Sector.

We provide debt collection services to a number of clients including banks and other financial institutions, institutions, money lending entities among others. We engage in recovery of receivables and enforcement of charges over properties.

Intellectual Property, Trademarks, Patents and Product Liability

The firm negotiates and prepares property rights agreements, handles trademark and patent application procedures, declarations of use and renewal. The Firm also handles protection of these trademarks, patents, designs and copyright.

Revenue Law and Taxation

The Firm boasts of Tax experts and has over time offered advice on various tax related matters. Specialty has been in corporate mergers and/or takeovers, reorganization and financing. The Firm also ensures that tax disputes are resolved in the shortest time possible mainly by liaising with the relevant authorities in the circumstances.
